Welcome to Soultriibe. Before you start enjoying our services, we have to set out a few ground rules. We have done our best to cut the legal chat and make them as easy to understand as possible but if you have any questions at all, feel free to contact us at love@Soultriibe.com

WHO WE ARE

We are Soultriibe Ltd, a company incorporated and registered in England and Wales with company number 13496810. Our registered office is at St Johns House, 16 Church Street, Bromsgrove, B61 8DN (referred to as we, our and us).

We are an online platform which allows users to connect for friendship and dating with other subscribers. We are only responsible for providing the platform for users to connect to each other and we act as an agent in this respect.

THESE TERMS 

In these terms and conditions (together with the documents referred to in them) (the Terms), we will refer to our Website, and our App, and together we’ll refer to them as our Digital Products.

When we talk about our Website, we refer to our site located at or accessible through www.Soultriibe.com

When we talk about our App, we refer to our mobile and/or web application, which can be accessed directly through your web browser on a computer or mobile device either as a responsive website or a progressive web application.

These Terms govern your relationship with us when you access and licence our Digital Products, so please make sure to read them carefully before you start accessing them. Once you start using our Digital Products you are taken to have understood and accepted these Terms. 

In these Terms, we refer to anyone who visits or uses our Digital Products as a ‘User’.

OTHER APPLICABLE TERMS 

So as to not to overload you with too much information at once, these Terms also include our Privacy Policy (the Privacy Policy). You should read the Privacy Policy as it sets out the terms in which we process (collect, use, share, etc.) any personal data we collect from you or that you provide to us.

CHANGES TO THESE TERMS 

This section informs you of how we may update and amend these Terms.

We may from time to time amend these Terms to ensure that we remain compliant with relevant laws and regulations or to keep up to date with improvements or changes we might make to the services and experiences we can offer to you via our Digital Products.

We don't expect you to check these Terms every time you use our Digital Products but equally, we don't want to bombard you with every little update. We just ask that you check this page from time to time to take notice of any changes we have made. This is important because by continuing to use any of the Digital Products after changes are made, you are accepting those changes and will be bound by them.

THE WEBSITE 

This section tells you what the Website does. 

We offer the Website mainly in order to: 

·      welcome you to and tell you all our Digital Products;

·      enable you to connect with other users through the Digital Products;

·      direct you towards the latest version of our mobile web app which will allow you to browse users and manager your account with us. 

·      provide a platform for customer support;

·      to give you access to our legal and data protection policies.

Please refer to our Privacy Policy for more information on how we process your personal data.

The list above is not necessarily a complete list of the functions of the Website and we may decide to offer additional Website functions, or stop providing any Website functions, at any time. 

THE MOBILE WEB APP 

This section tells you what the App does.

We offer various functions via the App (the App Functions), including those which allow you to: 

·      create a personal Account on the App;

·      connect with other users through the Digital Products; and

·      receive notifications via, emails, SMS. These messages may include information about your Account and general SOULTRIIBE information. The list above is not necessarily a complete list of the App Functions, and we may decide to offer additional or remove some current App Functions, at any time.

 

CREATING AN ACCOUNT 

To have full access to Soultriibe, you will need to register with Soultriibe and create an Account by providing your full name, email and mobile phone number. E-mails are used to verify your account and telephone numbers are collected for our own security purposes. They are not used for marketing purposes.

Your email address is used to sign into our Website and/or App, together with a password created by you, but you can change this at any time. By using the Digital Products and/or signing up with us you agree to any applicable terms of the service, including these Terms. 

Please provide truthful and accurate information when registering with SOULTRIIBE – this helps us to provide you with the best service. 

You are responsible for looking after the security of your Account. Please immediately notify us of any unauthorised use of your Account or any other breach of security relating to any of the Digital Products. We are not responsible for any loss or damage caused by the disclosure of your Account details to someone else. 

You are responsible for ensuring that the information we hold about you is up to date. Please amend your details as appropriate from time to time and notify us of any changes.

ACCEPTABLE USE RESTRICTIONS 

This section tells you what you can and cannot do with the Digital Products.

You may use the Digital Products only for personal and lawful purposes. In particular, but without limitation, you agree not to:

·      use the Digital Products in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;

·      use, share, or otherwise exploit the Digital Products for any commercial, business, or monetised purpose whatsoever, other than what is expressly permitted by SOULTRIIBE;

·      reproduce, duplicate, copy, share, or re-sell any part of the Digital Products is a contravention of these Terms; this includes sharing any other users content outside the platform

·      use the Digital Products in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other Users;

·      use the Digital Products in a way which we deem to be inappropriate or abusive or which could cause offence or distress in any way to any Users, staff-member or other person associated with our service;

·      transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of the Digital Products; or

·      access without authority, interfere with, damage or disrupt (a) any part of the Website or the App; (b) any equipment or network on which the Website is stored; (c) any software used in the provision of the Website or the App,  (d) any equipment, network or software owned or used by any third party, (together the Acceptable Use Restrictions) or (e) any part of our Soultriibe name and branding.

 

TERMINATION OF YOUR RIGHTS 

This section tells you how we can end your rights under these Terms.

We may end your rights under these Terms immediately and without notice if: 

·      you have breached any of the Acceptable Use Restrictions;

·      we believe that your use of the Website or the App is unsuitable in any way; or 

·      you are otherwise in breach of these Terms.

If we end your rights under these Terms: 

·      you must immediately stop all activities authorised by these Terms, including your access to and use of any or all of the Digital Products.

·      If your behaviour is deemed inappropriate in anyway.  This includes but is not limited to hate speech, bullying, racism, sexism, and any form of harassment.  In the event of such behaviour, we reserve the right to terminate your account immediately and without recompense.

 

INTELLECTUAL PROPERTY RIGHTS 

This section sets out who owns the Intellectual Property Rights on the Digital Products. 

You agree that the Intellectual Property Rights on the Digital Products and all material published on, in, or via them is owned and controlled by or licensed to us.

“Intellectual Property Rights” means patents, utility models, rights to inventions, copyright and neighbouring and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

AVAILABILITY OF THE WEBSITE AND THE APP 

This section explains that we try and keep the Digital Products up and running at all times, but we cannot promise that this will always be the case. 

The Digital Products are provided on an "as is" basis. We make no representations, warranties or guarantees of any kind regarding the availability or operation of the Digital Products, or that they will be secure, uninterrupted or free of defects. 

Your access to any of the Digital Products may be suspended or restricted occasionally to allow for maintenance, repairs, upgrades, or the introduction of new functions or services. Availability of our Digital Products may also be interrupted in the case of events or occurrences beyond our reasonable control. We will not be liable to you if for any reason any of the Digital Products are unavailable at any time or for any period.

UPDATES TO THE APP 

From time to time updates to the App may be issued directly via our Digital Products. Depending on the update, you may not be able to use the App until you have accepted any new terms. 

WEBSITES WE LINK TO

This section informs you of our relationships with any third party websites that feature on our Digital Products. The Digital Products may link to other third party websites from which third party services can be obtained. Whilst we reasonably believe that these are reputable sources of such services, you acknowledge that these other websites are independent from us and we make no representations or warranties as to the legitimacy, accuracy or quality of such third party services, and we do not accept any responsibility for their content, safety, practices or privacy policies. Essentially, we will do our best to ensure they are safe but you access any third party at your own risk.

COMPUTER VIRUSES

This section provides some helpful advice about how to keep your devices safe from viruses.

We do everything we can to ensure that no part of the Digital Products will contain or spread any viruses or other malicious code but this section explains how you can best protect your devices. 

We recommend that you ensure that equipment used to access the Digital Products run up-to-date anti-virus software as a precaution, and you are advised to virus-check any materials downloaded from any of the Digital Products and regularly check for the presence of viruses and other malicious code. 

To the full extent permitted by law we exclude liability for damage or loss of any kind caused by viruses or other harmful components originating or contracted from the Digital Products.

NO RELIANCE ON INFORMATION 

All information published on or via the Digital Products is provided in good faith and for general information purpose only. We make no warranties about the completeness, reliability, or accuracy of such information. Any action you take based on such information is taken at your own risk. 

IF THERE IS A PROBLEM WITH THE WEBSITE AND/OR APP 

This section explains how you can tell us about any problems with any of the Digital Products and what your legal rights are.

OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU 

This section explains the limits of our liability to you where you suffer any loss or damage from any of the Digital Products.

We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

You accept and agree we will not be liable for any harmful effect that accessing the Digital Products may have on you, and you agree that you access the Digital Products at your own risk. In the event that you are directed to any third party platform, we shall not be responsible for the acts or omission of such a platform.

 

Limitation of liability

 

Use of www.Soultriibe.com, the Website, App, Materials or related services means you agree to devoid www.Soultriibe.com and the employees, officers, directors, shareholders, agents, representatives of www.Soultriibe.com, its affliliates, subsidiaries, advertising, promotion and fulfilment agencies, any entity controlling, controlled by or under common control with www.Soultriibe.com, any third-party providers or sources of information or data and legal advisers (collectively, www.Soultriibe.com/Affiliates) free of any or all losses, damages, rights, claims and actions of any kind arising from or related to the Website, App, Materials or related services including  but not limited to a) telephone, electronic, hardware or software, network, Internet or computer malfunctions, failures or difficulties of any kind; b) failed, incomplete, garbled or delayed computer transmissions; c) any condition caused by events beyond the control of www.Soultriibe.com that may cause the Website, App or related services to be disrupted or corrupted; d) any injuries, losses or damages of any kind arising in connection with or as a result of your use of the Website, App, Materials or related services; or e) any printing, or typographical errors in any materials or related services.  In addition, you agree to defend, indemnify and hold www.Soultriibe.com Affiliates devoid from any claim, suit or demand, including reasonable legal fees, made by a third party due to or arising out of your use of the Website, App, Materials or related services, your violation or breach of these Terms and Conditions, your violation of any rights of a third party, or any other act or omission by you.  In no circumstance will www.Soultriibe.com, its officers, directors, employees, editors, and representatives be held liable for any damages of any kind including without limitation compensatory, direct, indirect or consequential damages, loss of income or data, loss of or damage to property, personal injury, and claims of customers or third parties arising from any customers’ interaction, involvement, and relationship with members of the online and/or offline dating or friendship community of any kind, even if www.Soultriibe.com was advised of the possibility of such damages. You submit information and content including images at entirely your own risk.  Furthermore, users of the Website, App, Materials and related services agree to hold www.Soultriibe.com devoid from any administrative, criminal or civil proceedings.

This section explains how you can contact us and how and when we may contact you.

We will only contact you if we make any relevant updates or changes to our services, or where you have signed up for marketing communications. You may opt out of marketing communications at any time by using the "unsubscribe" link provided. 

OTHER IMPORTANT TERMS

This section provides all of the extra terms that we have to tell you about. 

We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or our obligations under these Terms. 

If we do not enforce our rights against you, or if we delay in doing so, that does not mean that we have waived our rights against you, and it does not mean that you are relieved of your obligations under these Terms. If we do waive a breach by you, we will only do so in writing, and that will not mean that we will automatically waive any later breach by you. 

Each of the terms and conditions of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining terms and conditions will remain in full force and effect. 

These Terms are governed by English law and the courts of England and Wales have non-exclusive jurisdiction. 

User Agreement

The User 

You, the User

Services 

The user shall be an individual. No unsolicited company logos, spam or telephone numbers should be displayed, uploading unsolicited business identifiable material will be in breach of the terms of this Agreement and will permit SOULTRIIBE to remove the offending material and/or the user from the Site. Any fees that have already been incurred will be the responsibility of the User.

 

Account Registration

All users must register an account ("SOULTRIIBE Account") to access and use certain features of the Site, such as publishing your profile. If you are registering a SOULTRIIBE Account for a business, organisation or other legal entity, you represent and warrant that you have the authority to both (i) legally bind that entity and (ii) grant SOULTRIIBE all permissions and licenses provided in this Agreement.

Users registering a Business within www.Soultriibe.com, must also have a personal account.  Users must register two different emails and telephone numbers.

You must provide accurate, current and complete information during the registration process and keep your SOULTRIIBE Account and public SOULTRIIBE Account profile page information up-to-date at all times.

Users must upload Profile Pictures of themselves and complete the profile information.   

You can create a business profile but this will need to be in addition to a paid premium personal profile.  You must sign up with a personal and business email address and with two different telephone numbers.

You may not assign or otherwise transfer your SOULTRIIBE Account to a third party.

You are responsible for maintaining the confidentiality and security of your SOULTRIIBE Account credentials and may not disclose your credentials to any third party. You must immediately notify SOULTRIIBE if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorised use of your SOULTRIIBE Account. You are liable for any and all activities conducted through your SOULTRIIBE Account, unless such activities are not authorised by you and you are not otherwise negligent (such as failing to report the unauthorised use or loss of your credentials).

SOULTRIIBE reserves the right to remove all of a users information from the Site. For the avoidance of doubt, in no event shall the site be used for unsolicited advertising purposes in respect of any  illegal products or services. The user acknowledges that any such advertisement on the Site will be in breach of the terms of this Agreement and will permit SOULTRIIBE to remove the content and/or the user from the Site.

SOULTRIIBE are aware that internet verification is difficult, and we do not assume any responsibility for the confirmation of your identity. Therefore, for transparency and fraud prevention purposes, and as permitted by applicable laws, we may, but have no obligation to: (i) ask you to provide a form of government identification or other information or undertake additional checks designed to help verify your identity or background; and (ii) screen you against third party databases or other sources and request appropriate reports from service providers.

Payment/Finance 

In order to ensure all payments are processed securely and in compliance with payment regulations, payment processing services for users are provided by Stripe and are subject to the Stripe agreement, which includes the Stripe terms of service. By agreeing to the terms of this Agreement, you agree to be bound by the Stripe Services Agreement, as may be modified by Stripe from time to time.

In the event that we owe you monies, we will pay this into your Stripe Account within 7 Business Days. In the event that you owe us monies; we will initiate payment on your behalf, in accordance with authorisation given by you on accepting this Agreement. In the event that the balance is settled, it will show on your Stripe Account that there is no further action needed

Special Provisions 

The user is fully responsible for the provision of their own conduct, as per the SOULTRIIBE Terms. This contract is between the users and us.  Soultriibe shall not be liable in any way, for the provision of the Services. 

The user shall ensure that at all times, he/she/other complies with the following special provisions:

                    All users must be at least 18 years of age.

All users promise that the information that they have submitted within their profile and on Soultriibe is honest, accurate and up to date.

 

All photographs are of yourself and a true likeness.

 

All unsolicited advertisements and promotions are prohibited.

 

All users will conduct their interactions with kindness and respect, publicly and privately.

 

All connections and interactions whether online or in person remain the responsibility of the users.

 

Users are reminded to do their own due diligence when connecting online or in person.

 

Soultriibe reserves the right to remove any content deemed inappropriate.

For the protection and privacy of all users, content within the Soultriibe platform is not to be shared externally.

 

Users agree to a. Do no harm, b. Cause no loss, c. Commit no fraud and d. Keep the peace.

 

Without prejudice users are responsible for their own conduct and safety resulting from the use of Soultriibe.  Soultriibe and their personnel are not liable for any loss, damage, insult, harm, death or absolutely anything else.  By joining Soultriibe you agree to abide to our terms, you acknowledge and accept that all decisions are exclusively your’s and your sole responsibility.  These terms constitute a binding and legal agreement between you, the user, and Soultriibe.

 

 

 

General Terms and Conditions:

(a) The user hereby grants to SOULTRIIBE the right to use imagery in connection with the provision of the Services on  www.soultriibe.com (or such other URL as notified by SOULTRIIBE from time to time), including its different interfaces such as website, desktop, laptop, mobile and mobile applications and any other form of technology vertical or technological delivery mechanism, which may either exist as at the date of this Agreement, or be developed in the future, either by or on behalf of SOULTRIIBE or otherwise (the “Site”).

(b) All payments due to Soultriibe under this Agreement shall be inclusive of value added tax (or equivalent) and in GBP (£’s sterling).

(c) To the maximum extent allowable by law, neither party shall be liable to the other for any loss of profits, business, goodwill, revenue, anticipated savings or for any indirect or consequential loss or damage arising out of or in connection with this Agreement. This paragraph shall be read and construed subject to any limitation imposed by law and nothing in this paragraph shall limit or exclude any liability for fraud.

(d) All Intellectual Property Rights in content developed or created by the parties as part of the development or running of the Site shall be owned by SOULTRIIBE. For the purposes of this Agreement, “Intellectual Property Rights” means patents, utility models, rights to inventions, copyright and neighbouring and related rights, moral rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

(e) The user shall be solely responsible for any content in relation to the Services which is made available on the Site. Accordingly, the user represents and warrants that they: (i) are either the sole and exclusive owner of all content that is made available on or through the Site or you have all rights, licenses, consents and releases that are necessary to grant to SOULTRIIBE the rights in and to such content; and (ii) neither the content nor your posting, uploading, publication, submission or transmittal of the content or SOULTRIIBE’s use of the content (or any portion thereof) as contemplated under these Terms will infringe, misappropriate or violate the Intellectual Property Rights of a third party or result in the violation of any applicable law or regulation.

(f) You will not post, upload, publish, submit or transmit any content that is: (i) fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) defamatory, libellous, obscene, pornographic, vulgar or offensive; (iii) promoting discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) violent or threatening or promotes violence or actions that are threatening to any other person or animal; (v) promoting illegal or harmful activities or substances; or (vi) violates any of SOULTRIIBE’s policies. SOULTRIIBE may remove or disable access to any content that is in violation of applicable law, these Terms or our then-current policies or standards, or otherwise may be harmful or objectionable to SOULTRIIBE or any third party. Where SOULTRIIBE removes or disables content, SOULTRIIBE will notify you and provide the reasons for such a measure, unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of any third party, or (ii) contravene applicable laws.

(g) This Agreement shall not constitute a partnership, joint venture or contract of employment and neither party shall act or hold itself out as acting on behalf of the other. Each party acknowledges that in entering into this Agreement it has not relied upon any representation, warranty or other assurance save as is expressly set out in this Agreement.

(h) This document constitutes the entire agreement between the parties and may not be changed or modified except by separate written agreement signed by both parties.

(i) Neither Party shall have the right to assign or otherwise transfer any of its rights or obligations hereunder without the prior written consent of the other party.

(j) The parties agree to keep the terms of this Agreement strictly confidential at all times except as required by law. 

(k) This Agreement shall be governed by the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the Courts of England and Wales.

SUBSCRIPTION TERMS AND CONDITIONS 

Please read these Subscription Terms and Conditions carefully before you complete any transactions via the SOULTRIIBE Website or App as these Subscription Terms and Conditions will apply to your transaction. If you do not agree with these Subscription Terms and Conditions, you should not use our Website or App.

Defined Terms 

For ease of reference the following terms shall have the following meanings in these Subscription Terms and Conditions:

“App” means the Soultriibe Customer mobile web application software.

“Subscription" means that you are paying for the provision of Services whether made via the Website or App.

"Partner(s)" means anyone officially affiliated with www.soultriibe.com with the written permission from the Directors.

"Services" means any products, goods and/or services offered via the Website or App;

“Website” means  www.soultriibe.com

Resolving Issues

SOULTRIIBE cares about your experience and wants to ensure that we maintain the highest standards possible, and so if you would like to make a complaint about our services or affiliates please email us at love@Soultriibe.com 

Following receipt of a complaint we will investigate and try and resolve the issue on your behalf. In the event that we are unable to resolve the issue, if we consider it to be fair in all the circumstances, we may at our sole discretion elect to:

1. give you a credit note for the disputed/complained about amount of your purchase/membership (to be redeemed on the Website or the App to reduce the purchase price of any Services); or

2. as a last resort or in extreme circumstances and always at our sole discretion, refund the disputed/complained about amount directly to you via the original method of payment. Please note that it might take up to 30 days to receive a full refund in such cases.

PLEASE NOTE THAT WHILST WE TAKE ALL COMPLAINTS  VERY SERIOUSLY AND WILL ALWAYS DO WHAT WE CAN TO HELP RESOLVE SUCH COMPLAINTS, WE ARE NOT RESPONSIBLE TO YOU FOR THE EXPERIENCE/SERVICES PROVIDED AND ARE UNDER NO OBLIGATION TO PROVIDE YOU WITH A REFUND OR CREDIT NOTE IN THE EVENT YOU ARE DISSATISFIED WITH THE EXPERIENCE/SERVICES WHICH YOU HAVE RECEIVED FROM US OR OUR AFFILIATES. 

Price and Payment

Prices (including any processing charges) will be as quoted on the Website or App but may be subject to change by SOULTRIIBE or our Affiliates at any time (in which case the Website or App will be updated accordingly). 

Payment for all Services must be made at the time of purchase in pounds sterling by credit or debit card, through our third-party payment provider, Stripe ("Payment Facility"). Please note that this Payment Facility is subject to the third-party provider’s terms and conditions, privacy policy and other terms of You will be responsible for protecting the confidentiality of your Website or App user ID and any password or other security information used by you to access your account on the Payment Facility. We take reasonable care to ensure that the Payment Facility is available and functioning at all times, but cannot guarantee continuous, uninterrupted or secure access to such Payment Facility, nor can we guarantee that the Payment Facility will be virus or error free. We use third party payment service providers to process payments and because there are many factors beyond our control (such as delays in the banking system or in card networks), we cannot predict or guarantee the amount of time needed to complete the processing of your payment. Access to the Payment Facility may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to provide reasonable notice of any scheduled interruptions to such Payment Facility and will do what we can to restore the facility as soon as reasonably possible.

SOULTRIIBE will collect the payment, through the Stripe Payment Facility, in its capacity as the commercial agent. In the event SOULTRIIBE has successfully received your payment for affiliated services, this will discharge your debt to the affiliate on whose behalf SOULTRIIBE has collected the payment.

Liability

Where we have been negligent and/or breached a contractual obligation to you, we will be liable for any loss or damage you suffer as a result, provided that loss and/or damage is reasonably foreseeable. Loss or damage is reasonably foreseeable if it is an obvious consequence of our negligence or breach of contract, or would have been considered by you and us to be a likely consequence of it at the time we entered into the SOULTRIIBE Contract.

If any of these Terms and Conditions are determined by a competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
